Affiliate Agreement
This agreement describes the terms and conditions for participation in the Surfroam Affiliate Program. In this agreement, the term "Affiliate" refers to you (the applicant). In this agreement, “Surfroam” refers to Telecomer OU., an Estonian Corporation, with whom you are entering this agreement. By applying to the Surfroam Affiliate Program you are confirming that you have read the agreement and agree to the terms and conditions.
Commissions
For a sale to generate a commission to an Affiliate, the customer must complete the order form and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through Affiliate links.
Surfroam will track users who have visited these Affiliate links using cookies that expire after 365 days. Only users who make a purchase while the cookie is active will be considered referrals of the Affiliate and recorded as such in the Affiliate Dashboard.
The Affiliate is not authorized to modify or alter the Affiliate links or the cookies in any way. Surfroam is not responsible for any tracking or reporting errors that may result from any modifications to the Affiliate links or the cookies.
Affiliate will receive a commission for each new Surfroam SIM purchase and will continue to accumulate commissions for each paid balance top-up by the customer for as long as the customer remains a paying customer. Commissions can be viewed on the Affiliate Dashboard.
Payment
An Affiliate can request payment when their balance reaches a minimum balance of €50 EURO. Payments can be requested every 60 days. Payment processing can take up to 30 days from the requested date. Payments may be paid out via PayPal in euro only, Bank transfer, added to Affiliate Surfroam SIM balance, or any other available way.
Refunds
In the event a customer requests a refund for a transaction for which the Affiliate has earned commissions, any commissions earned on the refund amount will be deducted from the Affiliate’s balance.
Usage and Obligations
Affiliates are permitted to use the Surfroam brand and marketing resources available in the Affiliates section of the Surfroam application. Logos and other assets cannot be modified. The Affiliate does not gain any trademark, copyright or any other rights to these materials.
The Affiliate will never imply that they are acting on behalf of Surfroam. The Affiliate will never bid for advertisements that compete with Surfroam. PPC bidding is NOT allowed.
The Affiliate will never represent themselves, Surfroam or their relationship with Surfroam in a false or misleading way.
The Affiliate will be solely responsible for its own marketing activities. All marketing activities must be professional and in full compliance with all applicable laws.
Surfroam may, without prior notice, require the Affiliate to remove or modify any advertisements at Surfroam's sole discretion.
The Affiliate will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Surfroam. Surfroam prohibits advertising on sites containing or promoting illegal activities.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice.
If the Affiliate terminates the agreement, no further commissions from Surfroam will be paid for any past or future customer transactions.
If Surfroam chooses to terminate the agreement, any balance will be paid to the affiliate within 60 days of termination.
Your affiliate application and status in the Program may be suspended or terminated for any of the following reasons:
In addition to the foregoing, Surfroam reserves the right to terminate any Affiliate account at any time, for any violations of this Agreement or for no reason.
Relationship of Parties
Surfroam and the Affiliate are independent contractors. Nothing in this Affiliate Agreement will create any partnership, employment, representative, agency, or joint venture relationship between the parties. The Affiliate has no authority to act on Surfroam's behalf.
Limitation of Liability
The Affiliate Program is provided on an "as is" and "as available" basis and the use of the Affiliate Program is at the Affiliate's own risk. Surfroam makes no representations or warranties, either expressed or implied, with respect to the Affiliate Program, or any service or information provided through the Affiliate Program.
Surfroam is not responsible for any damages, injury or economic loss arising from the use of the Affiliate Program. Should any part of the Affiliate Program cause damage or inconvenience to the Affiliate or anyone claiming through the Affiliate, the Affiliate assumes responsibility and the entire cost for them.
The Affiliate will indemnify and hold harmless Surfroam, its directors, officers, employees, agents, subsidiaries, and third parties from and against any losses, damages, liabilities, claims, judgments, settlements, fines, costs and expenses (including reasonable related expenses, legal fees, costs of investigation) arising out of or relating to the Affiliate's or any third party's operations or use of the Affiliate Program.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of Estonia, without regard to its conflict of laws rules.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in Estonia. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but are not limited to changes in the scope of available commissions, commission schedules, payment procedures, and Affiliate Program rules.
